The information in this website describes the offering and business plan of non-managing membership interests in NorCal Equity Fund LLC, a proposed California Limited Liability Company ("the Company") being formed to purchase and sell bank-owned properties and other discounted real estate.

By accepting these Terms of Agreement, the potential investor certifies the following:

• That he/she has personal contact and/or an existing relationship with a Managing Member or Director of the Company;
• That he/she has personally requested additional information about the offering and the business plan for the Company;
• That he/she will hold harmless and/or indemnify the Managers from any claims made against the Company or the Managers as a result of the representations made herein;

All assumptions made herein are based upon the best information available to the Managers of NorCal Equity Fund. The non-managing membership interests should be purchased only by individuals familiar with the contents of the private placement memorandum available herein and who are able to bear the risks associated with the company's proposed business. The Managers encourage any interested investor to consult legal and accounting advice before purchasing an interest in the Company.
